After this course:
  • the student has in-depth knowledge and understanding of the general characteristics of corporate law from a European and international perspective.
  • the student has knowledge and understanding of the essential features of corporations such as the decision making process and capital requirements.
  • the student has knowledge and understanding of the regulation of crossborder activities such as transfer of the corporate seat, establishment of foreign business operations, take-overs (private, hostile) and mergers.
  • the student is able to apply the knowledge and understanding of corporate law by commenting on a court decision and
  • the student has knowledge and understanding of the business rationale and the financial implications of several types of international transactions and business models, including: - mergers and acquisitions
    • joint ventures
    • management buy-outs
    • private equity
    • project finance; and
    • (synthetic) Collateral Debt Obligations, Futures and Swaps
  • the student is able to give a presentation about a corporate law issue and argue his or her standpoint and give a reflection on other expressed opinions and thereby reflect on his or her own standpoint
  • the student is able to apply the knowledge and understanding of corporate law by commenting on doctrinal issues and/or court decision and thereby formulate and argue for a standpoint taking into account aspects from other disciplines like economics
  • the student is able to apply his or her knowledge and understanding of corporate law by providing a fictional corporate client a solution to a corporate law issue 
Inhoud
Gain in-depth knowledge and understanding of the general characteristics of corporate law from a European and international perspective; the essential features of corporations such as the decision making process and capital requirements; the regulation of crossborder activities such as transfer of the corporate seat, establishment of foreign business operations, take-overs (private, hostile), mergers; some general trends in the development of corporate law, for example the development of group law investments in developing countries, counter trade, anti-corruption legislation, international mergers (friendlly and hostile), acquisitions, joint ventures and private equity transactions the general concepts of international financial transactions and project finance.
